General terms and conditions of sale applicable to orders, quotations and sales by GL Distribution.

2. Definitions

For the purposes of these General Terms and Conditions of Sale:

  • Consumer: any natural person acting for private purposes within the meaning of the Belgian Economic Law Code.
  • Business: any natural or legal person acting in the course of their professional activity.
  • Customer: any Consumer or Business placing an order with GLD.
  • Website: the website operated by GLD.
  • Products: all goods marketed by GLD.
  • Quotation: any commercial offer, price proposal or document issued by GLD.

3. Scope of Application

3.1. These General Terms and Conditions of Sale apply to all sales, offers, quotations, orders, deliveries and services provided by GLD, to both Consumers and Businesses, unless otherwise agreed in writing.

3.2. Any order or acceptance of a quotation implies full and unconditional acceptance of these General Terms and Conditions of Sale.

3.3. These conditions take precedence over all general or specific conditions of the Customer, except where expressly accepted in writing by GLD.

3.4. GLD reserves the right to modify these General Terms and Conditions of Sale at any time. The applicable conditions are those in force on the date of the order or quotation.

3.5. The Customer declares that they have the necessary legal capacity to enter into a contract with GLD.

4. Products, Offers and Quotations

4.1. The products and information presented on the Website or in commercial documents are provided in good faith and for informational purposes only.

4.2. Photographs, illustrations, descriptions, dimensions, weights, colours and technical specifications of Products have no contractual value and may vary depending on manufacturers, production batches or supplier updates.

4.3. Products offered for sale are available subject to available stock.

4.4. GLD reserves the right to modify at any time its range, prices, promotions or commercial conditions.

4.5. GLD reserves the right to cancel or refuse any order resulting from a manifest pricing error, encoding error, description error, availability error or any material error affecting the offer, quotation or Website.

5. Quotations and Commercial Offers

5.1. Unless otherwise stated, quotations and commercial offers issued by GLD are valid for thirty (30) days from the date of issue.

5.2. Prices, lead times, availability and information provided in quotations and offers are given for informational purposes only and subject to:

  • material error,
  • supplier error,
  • variation in transport costs,
  • variation in raw material costs,
  • currency fluctuation,
  • or stock unavailability.

5.3. An order is only final after express acceptance by GLD.

5.4. GLD reserves the right to refuse any order in case of:

  • existing dispute,
  • payment default,
  • insufficient solvency,
  • or suspected fraud.

5.5. Any acceptance of a quotation or any order implies full acceptance of these General Terms and Conditions of Sale.

6. Pricing

6.1. Prices are expressed in euros.

6.2. Unless otherwise stated, displayed prices are excluding VAT and delivery charges.

6.3. Transport costs, taxes, environmental contributions or any specific charges are indicated separately.

6.4. GLD reserves the right to modify its prices at any time. Products are invoiced based on the rate in effect at the time of order confirmation.

7. Payment

7.1. Payments can be made via the payment methods offered by GLD.

7.2. Any unpaid invoice at due date may result in:

  • late payment interest in accordance with applicable legislation,
  • a fixed indemnity,
  • and/or suspension of outstanding orders.

7.3. GLD reserves the right to require full or partial advance payment before dispatch.

7.4. In the event of electronic payment, the order shall only be considered final after validation of the payment by the relevant financial institution.

8. Retention of title

8.1. Goods delivered remain the exclusive property of GLD until full payment of the principal, fees, taxes and accessories included.

8.2. Until full payment has been made, the Customer undertakes not to:

  • resell the goods in an abnormal manner,
  • pledge them as security,
  • or assign them to a third party.

9. Delivery and transport

9.1. GLD delivers in Belgium, Luxembourg and other European countries according to available logistical capacity.

9.2. Delivery times are communicated for information purposes only and do not constitute a binding obligation.

9.3. A delay in delivery cannot give rise to:

  • any compensation,
  • any automatic cancellation,
  • or any refusal to pay.

9.4. GLD is authorised to make partial deliveries.

9.5. The Customer is responsible for the accuracy of the delivery information provided when placing the order.

9.6. The risks associated with the goods are transferred to the Customer at the time of delivery.

10. Receipt and complaints

10.1. The Customer is required to inspect the Products immediately upon delivery.

10.2. Any complaint relating to:

  • an error,
  • damage,
  • an apparent defect,
  • or an incorrect quantity,
    must be reported in writing to GLD within a maximum of forty-eight (48) hours after receipt.

10.3. In the absence of a complaint within this timeframe, the Products are deemed to be definitively accepted.

11. Warranty

11.1. Consumers benefit from the legal warranty provided under Belgian legislation.

11.2. The warranty does not cover:

  • normal wear and tear,
  • misuse,
  • damage caused by negligence,
  • modifications made by the Customer,
  • handling errors,
  • impact damage,
  • or failure to follow usage instructions.

11.3. Any warranty claim must be submitted in writing to GLD beforehand.

12. Right of Withdrawal (for Consumers only)

12.1. In accordance with the Economic Law Code, the Consumer has a period of fourteen (14) calendar days to exercise their right of withdrawal without justification.

12.2. This period begins to run from the date of receipt of the Products.

12.3. Return costs remain the responsibility of the Customer unless otherwise provided by law.

12.4. Products must be returned:

  • complete,
  • unused,
  • in their original packaging,
  • and in perfect condition.

12.5. The right of withdrawal does not apply in particular to:

  • personalised Products,
  • perishable Products,
  • Products opened for hygiene reasons,
  • bespoke Products,
  • or professional Products excluded by law.

13. Force Majeure

13.1. GL Distribution cannot be held responsible in the event of force majeure preventing total or partial performance of its obligations.

13.2. The following are considered force majeure events in particular:

  • strikes,
  • shortages,
  • supplier delays,
  • logistical issues,
  • pandemics,
  • fires,
  • natural disasters,
  • social unrest,
  • governmental actions,
  • cyber attacks,
  • or any event beyond the reasonable control of GL Distribution.

14. Liability

14.1. GL Distribution's liability is limited to proven direct damages resulting from gross negligence or wilful misconduct.

14.2. GL Distribution shall not be liable for:

  • indirect losses,
  • loss of business,
  • loss of profits,
  • commercial losses,
  • or intangible damages.

14.3. In any event, GL Distribution's total liability is limited to the amount of the order concerned.

15. Data Protection

15.1. GL Distribution processes personal data in accordance with applicable data protection legislation.

15.2. The data collected is used solely for:

  • order management,
  • business relationship,
  • invoicing,
  • and legal obligations.

16. Applicable Law and Disputes

16.1. These General Terms and Conditions are governed by Belgian law.

16.2. In the event of a dispute, the courts of the district of GLD's registered office shall have jurisdiction, unless mandatory legal provisions provide otherwise.
